Terms of Service

These Terms of Service ("Terms") govern your access to and use of the DLX7 ShieldNet content protection platform and related services (the "Service") provided by DLX7 ShieldNet ("we", "our", or "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing the Service, or using any of our APIs, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

You represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are accessing the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description

DLX7 ShieldNet provides autonomous content protection capabilities including:

  • Real-time monitoring of web application content integrity
  • Cryptographic verification of protected elements
  • Automated drift detection and alerting
  • Self-healing recovery mechanisms
  • API access for integration with existing infrastructure
  • Analytics and reporting dashboard

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to users.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account using Google OAuth authentication. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Use a secure password and enable multi-factor authentication where available
  • Notify us immediately of any unauthorized access or security breach
  • Not share your account credentials with third parties
  • Not allow others to access the Service using your account

We are not liable for any loss or damage arising from your failure to maintain account security.

3.3 Account Suspension

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these Terms or engaged in fraudulent, abusive, or illegal activity.

4. Subscription and Payment Terms

4.1 Subscription Plans

The Service is offered on a subscription basis with various pricing tiers. Current pricing is available at our pricing page. We reserve the right to modify subscription fees with 30 days notice to existing subscribers.

4.2 Billing

Subscriptions are billed monthly in advance. By subscribing, you authorize us to charge your designated payment method. All fees are non-refundable except as required by law or as expressly stated in these Terms.

4.3 Payment Processing

All payments are processed securely through Stripe. You agree to provide current, complete, and accurate payment information. We are not responsible for any charges or fees imposed by your financial institution.

4.4 Failed Payments

If a payment fails, we will attempt to notify you and provide an opportunity to update payment information. If payment is not received within 7 days, we may suspend or terminate your access to the Service.

4.5 Cancellation

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that time, but no refund will be provided for the remaining period.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service to violate any applicable laws or regulations
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use the Service to transmit malware, viruses, or malicious code
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use automated systems to access the Service except through our documented APIs
  • Resell, redistribute, or sublicense the Service without written authorization
  • Remove, obscure, or alter any proprietary notices or labels
  • Use the Service to monitor content you do not own or have authorization to protect
  • Exceed API rate limits or attempt to circumvent usage restrictions

Violation of this Acceptable Use Policy may result in immediate termination of your account without refund.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, logos, and other content, is owned by us or our licensors and is protected by copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms.

6.2 Your Content

You retain all rights to content you submit to or monitor using the Service ("Your Content"). By using the Service, you grant us a limited license to process, store, and transmit Your Content solely to provide the Service. We will not access or disclose Your Content except as necessary to provide the Service or as required by law.

6.3 Feedback

If you provide suggestions, ideas, or feedback regarding the Service, you grant us an unrestricted, perpetual license to use such feedback for any purpose without compensation to you.

7. Service Level Agreement

7.1 Availability

We strive to maintain high availability of the Service. Our target uptime is 99.5% measured monthly, excluding scheduled maintenance and circumstances beyond our reasonable control.

7.2 Detection Response Time

Drift detection aims to identify unauthorized modifications within 60 seconds of occurrence under normal operating conditions. Actual detection time depends on monitoring interval configuration and system load.

7.3 Recovery Time

Self-healing recovery typically initiates within 120 seconds of drift detection. Complete recovery time depends on the complexity of protected content and network conditions.

7.4 Scheduled Maintenance

We perform scheduled maintenance during low-traffic periods with advance notice. We will provide at least 24 hours notice for planned downtime exceeding 30 minutes.

7.5 Service Credits

If we fail to meet the 99.5% uptime target in a given month, you may request a service credit equal to 10% of your monthly subscription fee for each 1% below the target. Service credits are your sole remedy for availability issues.

8. Data Protection and Security

8.1 Security Measures

We implement industry-standard security measures to protect your data, including encryption in transit and at rest, access controls, and regular security audits. However, no system is completely secure, and we cannot guarantee absolute security.

8.2 Data Processing

We process your data in accordance with our Privacy Policy and applicable data protection laws, including GDPR and CCPA. You are responsible for ensuring you have appropriate rights to submit content for monitoring.

8.3 Data Retention

We retain your data as described in our Privacy Policy. Upon account termination, we will delete your data within 90 days, except as required for legal compliance or to resolve disputes.

9. Warranties and Disclaimers

9.1 Service Warranty

We warrant that the Service will perform substantially in accordance with our published documentation. This warranty does not apply to issues caused by factors outside our reasonable control.

9.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN SECTION 9.1, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THAT THE SERVICE WILL DETECT ALL UNAUTHORIZED MODIFICATIONS OR PREVENT ALL SECURITY INCIDENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless DLX7 ShieldNet, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Your Content or any data you submit for monitoring

12. Term and Termination

12.1 Term

These Terms commence when you create an account and continue until terminated by either party.

12.2 Termination by You

You may terminate these Terms at any time by canceling your subscription and closing your account. Termination takes effect at the end of your current billing period.

12.3 Termination by Us

We may terminate or suspend your access immediately if you breach these Terms or if we cease offering the Service. We will provide 30 days notice for termination without cause.

12.4 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will delete your data within 90 days unless retention is required by law. Provisions that by their nature should survive termination will remain in effect, including ownership, warranty disclaimers, indemnification, and limitations of liability.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

13.2 Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.

13.3 Exceptions

Either party may seek injunctive or other equitable relief in court to prevent infringement of intellectual property rights or confidentiality obligations.

13.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Modifications to Terms

We may modify these Terms at any time by posting the updated Terms on our website with a new "Last Updated" date. Material changes will be communicated via email to the address associated with your account at least 30 days before the changes take effect.

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and DLX7 ShieldNet regarding the Service and supersede all prior agreements and understandings.

15.2 Assignment

You may not assign or transfer these Terms or any rights granted hereunder without our prior written consent. We may assign these Terms without restriction.

15.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.4 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

15.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet disruptions.

15.6 Export Controls

You agree to comply with all applicable export control and sanctions laws. You may not use the Service in violation of any U.S. export embargo, prohibition, or restriction.
